ESTABLISHMENT OF BOARD OF TRUSTEES (POLICY)
The officers of the Corporation shall be a president, vice-president, secretary and treasurer. The officers
shall serve without compensation, provided however, that they may receive a board stipend and mileage for
attending duly called board and committee meetings. The officers shall be elected from membership at the
annual meeting of the Corporation and shall serve until the election of their successors, provided, however,
that at least seven Trustees with voting rights are in attendance.
The Board of Trustees of the Corporation shall consist of the officers and all other members of the
Corporation. The Board of Trustees shall serve without compensation, provided, however, the Trustees may
receive a board stipend and mileage for attending duly called board and committee meetings. The Board of
Trustees shall manage the business property and affairs of the Corporation, including, but not limited to,
the determination of policy, the acquisition and improvement of real and personal property and any interests
therein, the borrowing of money and acceptance of grants from such public and private agencies or other
persons as the Board of Trustees may determine, and the issuance of notes, bonds, debentures or other
obligations, all for the purposes for which the Corporation is organized as set forth in Article II.
